gpweb.ca provides web design, development, and related digital services. Scope, deliverables, timeline, and fees for any engagement are set out in a separate proposal or written agreement, which governs that project and prevails over these Terms where they conflict.
Quotes are estimates and may change if scope changes. Deposits and milestone or final payments are due as stated in the applicable proposal or invoice. Late or non-payment may pause or suspend work.
You agree to provide accurate information, timely content and approvals, and the rights to use any materials you supply.
Unless otherwise agreed in writing, ownership of final deliverables transfers to you upon full payment. We may retain rights to underlying tools and pre-existing materials, and may display completed work in our portfolio unless you ask us not to.
Projects may rely on third-party platforms, hosting, plugins, or APIs governed by their own terms. We are not responsible for the availability or acts of those third parties.
You agree not to use our site or services unlawfully, to infringe others' rights, or to disrupt or gain unauthorized access to systems.
Services and the site are provided "as is" without warranties of any kind. To the maximum extent permitted by law, gpweb.ca will not be liable for indirect, incidental, or consequential damages, and our total liability for any claim will not exceed the fees paid for the work giving rise to the claim.
You agree to indemnify gpweb.ca against claims arising from your content, your use of deliverables, or your violation of these Terms or any law or third-party right.
These Terms are governed by the laws of Alberta and the federal laws of Canada applicable therein, with exclusive jurisdiction in the courts of Alberta.
